VERIFICATION OF OFFICIAL PARTNERSHIPS, AFFILIATIONS AND COMPANY REPRESENTATION

Ltd. and/or its affiliates ("Nagaya") wishes to remind all relevant parties that official partnerships, collaborations, projects, programmes, affiliations, and other business relationships involving Nagaya are subject to the Company's applicable approval and authorization processes.
 

For the purpose of external verification, parties are encouraged to confirm any such relationship directly through Nagaya's official communication channels before relying on any representation made in the Company's name.
 

Nagaya's official communication channels include its official website and other communication channels that are expressly designated and managed by Nagaya. Where appropriate, Nagaya may use its official channels to announce or confirm partnerships, collaborations, projects, programmes, and other matters involving the Company.
 

This notice is issued in the interest of transparency, clarity, and responsible communication with all parties engaging with or considering engagement with Nagaya, and how external parties may verify relationships, representations, partnerships, collaborations, and other business activities associated with Nagaya. Nagaya encourages all users, investors, community members, partners, and other relevant parties to independently verify any representation concerning Nagaya before entering into a transaction, investment, partnership, or other business arrangement.
 

Information communicated privately by an individual or third party should not, by itself, be taken as confirmation that a particular activity, transaction, partnership, or commitment has been authorized or endorsed by Nagaya.
 

An individual's association, position, title, role, or past or present involvement with Nagaya should not, by itself, be understood as confirmation that the individual is authorized to represent Nagaya in a particular transaction, agreement, investment, partnership, project, or other commitment.
 

Authorization to represent or commit Nagaya may depend on the nature and circumstances of the particular matter and the Company's applicable internal approval processes.
 

Where an individual proposes, enters into, or undertakes a transaction or business activity in connection with Nagaya, external parties are encouraged to obtain confirmation from an appropriately authorized representative of Nagaya before relying on such representation or commitment.
 

Nagaya may not recognize, endorse, or assume responsibility for commitments made in its name where the relevant authorization or approval has not been obtained.
 

Individuals associated with Nagaya may, subject to applicable laws, regulations, contractual obligations, and Company policies, have personal businesses, investments, ventures, projects, or other activities that are separate from their roles and responsibilities within Nagaya.
 

The existence of such activities does not, by itself, indicate that the activities are undertaken by, endorsed by, or otherwise associated with Nagaya.
 

Unless expressly authorized or otherwise confirmed by Nagaya, personal businesses, investments, ventures, projects, or other activities undertaken by individuals in their personal capacity should not be represented as activities, partnerships, investments, or commitments of Nagaya.
 

External parties should seek direct confirmation from Nagaya where there is any uncertainty as to whether a particular activity or commitment is undertaken on behalf of, endorsed by, or otherwise officially associated with Nagaya.
 

Nagaya does not intend for this notice to determine or prejudge the rights, responsibilities, or liabilities of any party in any particular matter. Rather, the purpose of this notice is to provide clear guidance on how representations concerning Nagaya may be independently verified.
 

Nagaya strongly encourages all users, investors, community members, partners, and other relevant parties to verify information concerning any proposed investment, transaction, partnership, project, collaboration, or other business arrangement directly through Nagaya's official communication channels before making commitments or relying on representations made in the Company's name.
 

Where appropriate, Nagaya may provide confirmation of whether a particular relationship, project, or representation is officially associated with the Company.
